1. Introduction
Welcome to Compaxis. These Terms of Service ("Terms") govern your access to and use of the services provided by Compaxis Pty Ltd, ABN 75 698 385 456, an Australian company ("Compaxis", "we", "us", "our"). Compaxis operates the Compaxis Hub desktop application ("the Hub") and publishes Compaxis SQ-quantized language model files ("Compaxis SQ4 LLMs" or "LLMs"). Together, the Hub and the LLMs are referred to as the "Services".
By creating an account, accessing, or using any part of the Hub or an LLM, you agree to be bound by these Terms. If you do not agree, do not use the Services.
2. Eligibility
2.1. You must be at least 13 years of age, or the legal age required in your jurisdiction, to use the Services.
2.2. From time to time Compaxis may run closed beta or invite-only programs for upcoming features or models. Access to those programs is restricted to invited participants and invitations are non-transferable.
2.3. By using the Services, you represent and warrant that you are at least 13 years of age and meet the minimum legal age requirements in your jurisdiction and have the legal capacity to enter into these Terms.
3. License Activation
3.1. Licence Issuance. Upon completing a paid purchase via Paddle, Compaxis issues a licence key tied to the email address you used at purchase. The licence key is delivered to that email and is the mechanism by which paid features are unlocked in the Hub.
3.2. Licence Key Security. You are responsible for keeping your licence key confidential. Sharing it with any third party is grounds for licence revocation.
3.3. One Licence Per Customer. Each individual or small business may purchase one active subscription licence. Each licence permits a limited number of simultaneously-active device installs as published on the Hub (currently 2 for Pro Monthly/Annual, 3 for Lifetime).
3.4. Lost Licence Keys. If you lose your licence key, contact from the email address you used to purchase and we will re-issue it.
3.5. Notification of Unauthorised Use. You agree to notify us within 48 hours at if you become aware of any unauthorised use of your licence key.
4. The Hub
4.1. Browsing and Purchasing. The Hub is a marketplace where users can scan their hardware setup, browse, purchase, and download pre-compressed LLMs.
4.2. LLM Suitability. LLM recommendations listed as suitable for your hardware on the Hub are advisory and informational only — they do not constitute a guarantee of fitness, safety, accuracy, or performance. You are responsible for evaluating the LLMs before use.
4.3. Underlying Model Weights. LLMs available on the Hub are built from open-weight base models published by third parties (such as Qwen, Google's Gemma family, and DeepSeek). The base model weights and their behaviour, including the accuracy, suitability, or safety of any output, are the responsibility of those upstream creators and are governed by their respective licences (see Section 5.6). Compaxis does not warrant, endorse, or assume responsibility for the behaviour of any base model.
4.4. Compaxis SQ Quantization. The proprietary SQ4 quantization Compaxis applies to a base model is our work. We warrant that the SQ4 file is a valid GGUF that loads in any standard llama.cpp-compatible runtime, but we make no additional warranty about the output behaviour (which derives from the upstream base model - see Section 4.3) or about fitness for any particular purpose.
4.5. Device Installation. LLMs purchased on the Hub may be installed to your preferred device. You are responsible for ensuring your device meets the requirements for any LLM you install.
4.6. Subscription Plans. Access to Compaxis LLM features is governed by your subscription plan. Plan structure is as published on the Hub and summarised in Section 6. Plan features, limits, and pricing may be updated with 14 days’ notice.
5. Downloaded LLMs
5.1. Local Storage and Processing. Downloaded LLM model files are stored locally on your device. Your inference activity — including prompts and outputs — is processed entirely on your device and is not transmitted to Compaxis servers.
5.2. System Requirements. You are responsible for ensuring your device meets the minimum hardware requirements published on the Hub for any LLM you download. Compaxis does not guarantee that a downloaded LLM will perform adequately on all hardware configurations.
5.3. Security. You are responsible for the security of the device on which you run any downloaded LLM. Compaxis is not liable for any loss or damage arising from unauthorised access to your device or to any model files stored on it.
5.4. Model Updates and Versions. Compaxis may make updated or revised versions of a model available on the Hub. Your subscription does not automatically entitle you to updated versions unless stated in your plan description. Compaxis reserves the right to discontinue any model version with 30 days’ notice.
5.5. Licence to Use Downloaded LLMs. Subject to these Terms and your active subscription, Compaxis grants you a limited, non-exclusive, non-transferable, revocable licence to download and run LLMs made available through the Hub solely for your own personal or internal business use. You may not sublicense, sell, redistribute, or share downloaded model files with any third party. The foregoing restrictions do not apply to the free-tier model (currently Qwen 3 1.7B SQ4), which Compaxis distributes for promotional purposes and which you may share within your organisation; please link prospective external users to the Hub download rather than sharing the file directly.
5.6. Underlying Model Licences. LLMs available on the Hub incorporate base model weights subject to third-party licences (for example, the Apache 2.0 licence used by the Qwen family and the Gemma 4 family, or the MIT licence used by the DeepSeek-R1 distill family). By downloading an LLM, you agree to comply with any applicable underlying licence. Compaxis publishes the applicable licence for each model on the Hub prior to download.
6. Subscription Plans and Usage Limits
6.1. Subscription Plans. Access to paid Hub features, including LLM downloads, is governed by your subscription plan. Current plans in USD are:

Plan availability, limits, and pricing are as published on the Hub and are subject to change with 14 days’ notice.
6.2. Plan Features and Limits. Each plan’s downloadable models, simultaneous-device count, and any usage limits are as published on the Hub at the time of purchase. Usage limits, where they apply, reset on your billing-cycle renewal date.
6.3. Upgrades and Downgrades. You may change your subscription plan at any time. Upgrades take effect immediately. Downgrades take effect at the start of your next billing cycle.
6.4. Plan Changes by Compaxis. Compaxis may modify the features, limits, or pricing of any plan with at least 14 days’ notice. Existing subscribers will be notified via email.
6.5. Local Operations. Inference operations performed entirely on your local device using a downloaded LLM are not subject to additional platform fees. Any platform usage fees apply only to Hub access and download entitlements, not to local inference.
7. Payment Terms
7.1. Payment Processing. All payments are processed by Paddle.com (Paddle). By making a purchase, you agree to Paddle’s terms of service. Compaxis does not store your credit card or payment method details.
7.2. Pricing. All prices are displayed in the currency specified at the time of purchase. Subscription pricing is set by Compaxis and published on the Hub.
7.3. Platform Fee. Paddle’s own processing fees are charged in addition to the subscription price. The total amount payable is displayed at checkout prior to purchase.
7.4. Refunds. Refunds for subscriptions are governed by our Refund Policy, which is incorporated into these Terms by reference. In summary: every paid Compaxis plan - Pro Monthly, Pro Annual, and Lifetime - comes with a 14-day money-back guarantee. If you request a refund within 14 days of purchase by emailing from your purchase email, we will refund you in full, no questions asked. Full terms, eligibility outside the 14-day window, and the refund process are set out in the Refund Policy.
7.5. Taxes. You are responsible for any taxes applicable to your purchases or subscriptions. Compaxis does not provide tax advice.
8. Intellectual Property
8.1. Platform IP. The Hub, including its software, design, branding, algorithms, and documentation, is the proprietary property of Compaxis Pty Ltd. All rights are reserved unless explicitly granted in these Terms. Use of the Compaxis or Compaxis Hub names and trademarks is subject to our brand guidelines.
8.2. Anti-Reverse-Engineering. You agree not to:
- Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or internal logic of any compiled, minified, or obfuscated components of the LLM
- Attempt to reconstruct, replicate, or extract any proprietary methods, processes, or technologies used by the Hub or an LLM
- Circumvent, bypass, or disable any technical protection measures implemented to protect intellectual property
The LLM software is proprietary. No right to access, use, or derive source code, algorithms, or internal logic is granted except as expressly set out in these Terms.
8.3. Trade Secrets. All proprietary algorithms, methods, processes, techniques, and technologies embodied in the Hub constitute trade secrets of Compaxis Pty Ltd. You acknowledge that access to the Hub does not grant you any right to these trade secrets and that unauthorised disclosure or use may result in legal action.
9. Acceptable Use
9.1. Your use of the Hub is subject to our Acceptable Use Policy (published on the Compaxis website), which is incorporated into these Terms by reference. Where the Acceptable Use Policy has not yet been separately published, the prohibitions in Section 9.2 apply.
9.2. You agree not to use the Hub or an LLM supplied by the Hub for any unlawful purpose or in any manner that could damage, disable, overburden, or impair the Hub.
10. Disclaimer of Warranties
10.1. THE PLATFORM AND ALL SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.
10.2. COMPAXIS DOES NOT WARRANT THAT:
- the Hub will be uninterrupted, timely, secure, or error-free; or
- LLMs will function as described by their owners
10.3. YOU ACKNOWLEDGE THAT AI SYSTEMS CAN PRODUCE INCORRECT, BIASED, OR HARMFUL OUTPUTS. YOU ASSUME ALL RISK ASSOCIATED WITH YOUR USE OF AI-GENERATED CONTENT.
11. Limitation of Liability
11.1. TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPAXIS’S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF:
- The total fees paid by you to Compaxis in the 12 months preceding the claim, or
- AUD $500
11.2. IN NO EVENT SHALL COMPAXIS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Loss of profits, data, or business opportunities
- Costs incurred with third-party AI providers
- Damages arising from the performance, output quality, or accuracy of any downloaded LLM
- Damages arising from AI-generated content
- Damages arising from incompatibility between a downloaded LLM and your hardware
11.3. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including the Australian Consumer Law.
12. Indemnification
You agree to indemnify, defend, and hold harmless Compaxis, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:
- Your use of the Hub or a downloaded LLM
- Your violation of these Terms
- Your use of AI-generated content
- Your violation of any third party’s rights
13. Termination
13.1. By You. You may terminate your account at any time by contacting . Upon termination of a paid subscription, your access to additional downloads ceases at the end of the paid period. Pro tier LLMs in their encrypted Compaxis package format become unable to decrypt at the end of the grace period defined in your subscription state. The free Qwen 3 1.7B SQ4 model and any standard GGUF files you have exported via the Hub library remain functional on your device regardless of subscription status.
13.2. By Us. We may suspend or terminate your account at any time, with or without cause. For paid plan subscribers, where termination is not due to a breach of these Terms or the Acceptable Use Policy, we will provide at least 7 days’ prior written notice. Reasons for termination may include, but are not limited to, violations of these Terms or the Acceptable Use Policy.
13.3. Effect of Termination. Your downloaded LLM local data remains on your device and is not affected by account termination. Your access to paid Hub features and additional model downloads will cease. Local inference on the free-tier model and on any standard GGUF files exported from the Hub library is unaffected.
13.4. Survival. Sections 7 (Payment Terms), 8 (Intellectual Property), 10 (Disclaimer of Warranties), 11 (Limitation of Liability), 12 (Indemnification), and 14 (Governing Law and Dispute Resolution) survive termination of these Terms.
14. Governing Law and Dispute Resolution
14.1. These Terms are governed by and construed in accordance with the laws of New South Wales, Australia.
14.2. Any dispute arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of New South Wales, Australia.
14.3. Before initiating legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation for a period of at least 30 days commencing upon written notice from the disputing party to the other specifying the nature of the dispute.
15. Changes to These Terms
15.1. We may update these Terms from time to time. If we make material changes, we will provide at least 30 days’ notice via email to your registered address or through a prominent notice on the Platform.
15.2. Your continued use of the Hub after the effective date of the updated Terms constitutes your acceptance of the changes. If you wish to reject the updated Terms, cancel your subscription and uninstall the Hub before the effective date.
15.3. If you do not agree with the updated Terms, you must stop using the LLM and terminate your account.
16. General Provisions
16.1. Entire Agreement. These Terms, together with the Privacy Policy, Acceptable Use Policy, and Refund Policy, constitute the entire agreement between you and Compaxis regarding the Services.
16.2. Severability. If any provision of these Terms is found to be unenforceable, that Term is severed and the remaining provisions shall continue in full force and effect.
16.3. Waiver. The failure of Compaxis to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
16.4. Assignment. You may not assign or transfer your rights under these Terms without our prior written consent. Compaxis may assign its rights and obligations without restriction.
16.5. Force Majeure. Compaxis shall not be liable for any failure or delay in performance under these Terms caused by events beyond its reasonable control, including but not limited to natural disasters, war, civil unrest, government action, pandemic, internet or telecommunications outages, cloud infrastructure failures, or cyberattacks. In such events, Compaxis’ obligations are suspended for the duration of the event and a reasonable recovery period thereafter.
